(NYSE:SMP), an automotive replacement parts manufacturer and distributor, today filed a Form 12b-25 Notification of Late Filing with respect to our Annual Report on Form10-K for the fiscal year ended December 31, 2003.  The reason for such filing is because our auditors require additional time to verify the opening balance sheet valuation at June 30, 2003 of Dana Corporation's Engine Management Group, which we acquired on June 30, 2003.
