| Recent legislation enacted in the State of California requires certain companies to disclose their efforts to evaluate and address the risks of human trafficking and slavery in their direct supply chain for tangible goods offered for sale. Standard Motor Products, Inc. forbids the use of human trafficking, forced labor, unlawful child labor and slavery in the manufacture of products offered for sale, and we will not tolerate the use of such practices by those with whom we conduct business. The following statements disclose our efforts to evaluate and address the risks of such practices in our direct supply chain. |
| Verification. Inherent in our values and our commitment to good corporate citizenship is a respect for human rights and ethical labor practices, which are irreconcilable with human trafficking and slavery. Our Code of Ethics and operating procedures adopted under our Code are designed to ensure compliance with all applicable laws, rules and regulations and the recognition of such rights and practices in all aspects of our business. Although it is important to us that our direct suppliers endorse the principles in our Code of Ethics, we do not currently verify their compliance with such principles. |
| Audit. As discussed above, we do not currently verify or audit our direct suppliers for compliance with our Code of Ethics. In response to the legislation enacted in California, we are taking steps to internally evaluate the risks of human trafficking and slavery in our product supply chains. As part of our evaluation process, we may conduct independent or otherwise, unannounced supplier audits to verify results of the evaluation if there are facts and circumstances that warrant an extra level of review. |
| Compliance. In many cases our direct suppliers are bound through supply agreements or purchase order terms and conditions to comply with all applicable laws, rules and regulations, including those which apply to human trafficking and slavery. However, we do not currently require our direct suppliers to certify that materials incorporated into products supplied to us specifically comply with laws regarding human trafficking and slavery in the country(s) in which they are doing business. |
| Accountability. Upon hire, and on an annual basis thereafter, we require all salaried employees to read, understand and acknowledge compliance with our Code of Ethics. As discussed above, the practices of human trafficking and slavery would constitute a violation of our Code of Ethics and would result in disciplinary action being taken against the employee, including termination of employment. |
| Training. As noted above, we explain our Code of Ethics to our employees, including those responsible for interfacing with our suppliers, and we require that they agree to apply our Code of Ethics in all aspects of our business, including all dealings with suppliers. |
